Business Terms of Service

1. Your Business Account

Eligibility: You must be authorized to represent your business. You're responsible for keeping your account credentials secure.

Accurate Information: You agree to provide and maintain accurate business information including name, address, hours, contact details, and any other profile information.

2. Subscription and Payment

• Your subscription begins when you activate a plan and continues until cancelled
• Fees are billed monthly or annually based on your selected plan
• You can cancel anytime; cancellation takes effect at the end of your billing period
• No refunds for partial months or unused services

3. Content Standards

Your business profile, deals, events, and all content you post must:

• Be accurate and not misleading
• Comply with all applicable laws and regulations
• Not contain illegal content, hate speech, or harassment
• Not include adult content, weapons, or other inappropriate material
• Respect intellectual property rights of others
• Not impersonate other businesses or individuals

We reserve the right to remove any content that violates these standards or modify content that doesn't meet our quality guidelines.

4. Your Responsibilities

As a business on Locl Tides, you agree to:

• Honor all deals, promotions, and loyalty rewards you post
• Respond to customer check-ins and interactions in good faith
• Maintain proper licenses and permits for your business operations
• Handle customer data according to applicable privacy laws
• Not manipulate check-ins, reviews, or analytics
• Promptly update your profile if business information changes

5. Data and Analytics

What we collect: We collect check-in data, user interactions with your business, and analytics about your profile performance.

Customer data: You see aggregate analytics, but customer personal information remains private per our Privacy Policy. Don't attempt to extract or misuse customer data.

6. Intellectual Property

Your content: You retain ownership of your business content (photos, descriptions, deals). By posting, you grant us a license to display and distribute your content through the platform.

Our platform: Locl Tides, our logo, design, and features are our property. Don't copy, modify, or create derivative works without permission.

7. Prohibited Activities

You may not:

• Use the platform for any illegal purpose
• Attempt to hack, reverse engineer, or compromise our systems
• Create fake accounts or check-ins
• Spam users or abuse notification features
• Scrape data or use bots without authorization
• Resell or transfer your account

8. Service Availability

We strive for 99.9% uptime but can't guarantee uninterrupted service. We may perform maintenance, updates, or modifications without notice. We're not liable for any business losses due to service interruptions.

9. Termination

You can cancel anytime through your account settings or by contacting support.

We can suspend or terminate your account if you violate these terms, engage in fraudulent activity, or if your content repeatedly violates our standards. We'll generally provide warning, but may terminate immediately for serious violations.

Upon termination, you lose access to the platform and any accumulated analytics or data.

10. Disclaimers and Liability

Platform role: We're a technology platform connecting businesses with consumers. We're not responsible for interactions between you and customers, quality of goods/services, or disputes that arise.

As-is service: The platform is provided "as is" without warranties. We don't guarantee specific results, customer traffic, or business outcomes.

Limitation: Our total liability is limited to the amount you paid us in the last 12 months. We're not liable for indirect, consequential, or lost profit damages.

11. Changes to Terms

We may update these terms occasionally. Material changes will be notified via email or platform notification at least 30 days before taking effect. Minor updates (typos, clarifications, legal/regulatory requirements) may take effect immediately. Continued use after changes means you accept the updated terms.

12. Disputes and Governing Law

These terms are governed by the laws of North Carolina, without regard to conflict of law principles. However, certain states may have consumer protection or other laws that apply to residents of those states.

Any disputes will be resolved through binding arbitration in North Carolina rather than court, except for intellectual property claims or small claims court matters. You may opt out of arbitration within 30 days of account creation by emailing us.

Note: State-specific variations may apply based on your business location.

13. General

• Entire Agreement: These terms, along with our Privacy Policy, constitute the complete agreement
• Assignment: You can't transfer your account. We may assign our rights to affiliates or acquirers
